Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Merchant", "you", or "your") and KonnectPe Payments Technologies ("KonnectPe", "we", "us", or "our") governing your access to and use of our payment processing platform, APIs, and related services (collectively, the "Services").

Please read these Terms carefully before using our Services. By creating an account or using our Services, you accept these Terms in full.

1. Eligibility and Account Registration

To use our Services, you must:

• Be at least 18 years of age
• Be a duly incorporated entity or individual resident in India with valid GST/PAN registration where applicable
• Provide accurate, complete, and current registration information
• Successfully complete our KYC and merchant verification process
• Not be on any RBI, OFAC, or international sanctions list

You are responsible for maintaining the security of your account credentials. Notify us immediately at security@konnectpe.com if you suspect unauthorised access.

2. Permitted Use and Prohibited Activities

2.1 Permitted Use

You may use our Services solely for lawful commercial transactions between you and your customers for goods or services you legitimately provide.

2.2 Prohibited Activities

You must not use our Services for:

• Illegal goods or services including narcotics, counterfeit goods, or unlicensed pharmaceuticals
• Gambling, lotteries, or games of chance without applicable licences
• Adult content or services without age verification compliance
• Ponzi schemes, pyramid schemes, or multi-level marketing without regulatory approvals
• Money laundering, terrorist financing, or any activity violating PMLA
• Processing payments on behalf of third parties (payment facilitation) without our written consent
• Cryptocurrency exchanges or unregulated financial services
• Reverse engineering, scraping, or attempting to circumvent our security measures

We reserve the right to immediately suspend or terminate your account and withhold settlements if we detect prohibited use.

3. Fees and Pricing

Transaction fees are as specified in your merchant agreement or the current fee schedule available on our website. We reserve the right to modify fees with 30 days' written notice. Fees are exclusive of applicable taxes including GST. All fees are non-refundable unless otherwise stated. We may charge additional fees for chargebacks, disputes, and manual processing.

4. Settlement and Payouts

Settlement of funds to your registered bank account occurs on T+1 or T+2 business days as per your plan, subject to:

• Completion of KYC verification
• No active holds, disputes, or chargeback investigations
• Compliance with our risk management policies
• Minimum settlement threshold of ₹100

We may place a rolling reserve on your account of up to 10% of transaction volume for up to 180 days if your risk profile warrants it. We will notify you of any reserve requirements.

5. Chargebacks and Disputes

You are responsible for all chargebacks arising from your transactions. Upon receiving a chargeback notification, you have 7 calendar days to provide evidence for dispute. Chargeback fees apply per our fee schedule. If your chargeback rate exceeds 1% in any rolling 3-month period, we may suspend your account or require a reserve. Persistent high chargeback rates may result in account termination.

6. Data and Security

You must comply with all applicable data protection laws including the Digital Personal Data Protection Act, 2023. You must not store payment card data unless PCI-DSS compliant. You must implement reasonable security measures to prevent unauthorised access to your systems. Report any security incidents involving our APIs or payment data to us within 24 hours of discovery.

7. Intellectual Property

All intellectual property in the KonnectPe platform, APIs, SDKs, documentation, trademarks, and brand assets remain our exclusive property. We grant you a limited, non-exclusive, non-transferable licence to use our APIs and SDKs solely for integrating our Services into your applications. You must not represent yourself as affiliated with or endorsed by KonnectPe without express written permission.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability to you shall not exceed the fees paid by you in the three months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages including loss of profit, data, or business opportunity
• We are not liable for service interruptions caused by third-party payment networks, banking partners, or force majeure events
• We are not liable for losses arising from your violation of these Terms or applicable law

9. Indemnification

You agree to indemnify, defend, and hold harmless KonnectPe, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: your use of the Services; your violation of these Terms; your transactions and customer disputes; or your infringement of any third-party rights.

10. Term and Termination

These Terms remain in effect while you use our Services. Either party may terminate the agreement with 30 days' written notice. We may terminate or suspend your account immediately for cause, including violation of these Terms, illegal activity, or excessive risk. Upon termination, we will settle outstanding amounts owed to you (subject to deductions for chargebacks, fees, and reserves) within 90 days.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings in Mumbai, Maharashtra, conducted in English. The courts of Mumbai shall have exclusive jurisdiction for injunctive relief.

12. Amendments

We may modify these Terms at any time. Material changes will be communicated via email to your registered address at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the amended Terms.
